Acceptance of These Terms
These Terms of Service ("Terms") govern your use of the website at moskoconstruction.com (the "Site"), the private estimate and project links we send to clients, the pages used to sign work orders and agreements, and the operating system at os.moskoconstruction.com (the "OS") used by our authorized team members (together, the "Services"). The Services are operated by Mosko Construction Group LLC, a North Carolina limited liability company ("Mosko," "we," "us," or "our"), and are built and run for us by Timatsu LLC. By using the Services, you agree to these Terms and to our Privacy Policy, which is part of these Terms. If you do not agree, please do not use the Services. These Terms apply to users located in the United States.
Use of the Services
You may use the Services for lawful purposes related to learning about and engaging our services, or, for team members, doing the work we authorized. You agree not to misuse the Services, interfere with their operation or security, try to access areas or data you are not authorized to access, or use automated means to scrape or overload them. We may change, suspend, or discontinue any part of the Services at any time.
Private Estimate and Project Links
We may send you a private link to your estimate or project page. These pages open with the link alone, with no password, and show your name, contact details, address, scope of work, prices, and photos. Anyone who has the link can view the page, so keep it private and share it only with people you choose. Ask us at any time to unpublish it. Information on these pages is provided for convenience; your signed estimate and any contract it references govern the project.
The OS and Team Accounts
The OS at os.moskoconstruction.com is for our authorized team members only. If you are given access, you are responsible for keeping your login confidential and for activity under your account, and you must tell us promptly about any unauthorized use. Access is personal to you, cannot be transferred, and may be limited, suspended, or ended at our discretion. Your use of the OS is also subject to the Confidentiality and Nondisclosure and Proprietary Technology and Restricted Materials sections below and to any separate agreement you have with us.
Estimates, Proposals, and Project Information
Descriptions of services, project examples, pricing references, and timelines on the Site are general information. An estimate is a proposal. It is not binding until you sign it and pay the deposit it calls for. Once signed and paid, the estimate becomes our agreement, together with any contract it references. Prices on an estimate are valid for the period it states.
Project photos and examples show past work and do not guarantee any particular result for your project. Timelines depend on scope, permitting, weather, and other factors.
Electronic Signatures
We may ask you to sign work orders and agreements electronically. By signing electronically, you consent to do business with us electronically and agree that your electronic signature and records have the same legal effect as a signature and records on paper, under the federal Electronic Signatures in Global and National Commerce Act (ESIGN) and the North Carolina Uniform Electronic Transactions Act.
You may ask for a paper copy of any document you sign or are asked to sign, at no charge, by contacting us. You may withdraw your consent to sign electronically at any time before you sign by telling us. Withdrawing consent does not affect documents you already signed.
To sign a work order or agreement, you need a device with a current web browser, an email address, and the 4-digit access code we send with the link. When you sign, we record your name, the date and time, your IP address, and your browser details. When all parties have signed, the signed PDF is emailed to the parties and kept in our records. You can ask us for another copy at any time.
Intellectual Property
The Services and their content, including text, photographs, graphics, logos, the Mosko name and shield, and the overall design, are owned by Mosko Construction Group LLC or its licensors and are protected by intellectual-property and other laws. You may view and share the Site for personal, non-commercial purposes, but you may not copy, reproduce, distribute, modify, or create derivative works from our content, or use our names, logos, or trademarks, without our prior written permission.
Confidentiality and Nondisclosure
Through the Services, including the OS and the gated team pages on the Site, you may be given access to non-public, confidential, and proprietary information of Mosko Construction Group LLC ("Confidential Information"). Confidential Information includes, without limitation, our playbooks, training, and operating materials (including The Mosko Method, The Mosko Standard, The Language of Success, and our Policies and Procedures Manual), pricing, estimates, cost data, methods, processes, checklists, templates, business and client information, software, and any other information that is marked confidential or that a reasonable person would understand to be confidential given its nature or the manner of disclosure.
If you are given access to any Confidential Information, you agree to hold it in strict confidence; to use it only for the limited purpose for which access was granted; and not to disclose, publish, display, copy, reproduce, screenshot, record, forward, distribute, or otherwise make it available to any person who is not specifically authorized by Mosko in writing. You will protect Confidential Information using at least reasonable care and will promptly notify us of any actual or suspected unauthorized access, use, or disclosure.
These confidentiality obligations are a condition of your access, apply whether or not you have signed a separate nondisclosure agreement, and supplement, and do not replace, any separate written confidentiality, employment, contractor, or master agreement you have with us. If there is a conflict, the more protective term controls. Your obligations continue for as long as the information remains confidential and survive the end of your access, employment, engagement, or project.
Proprietary Technology and Restricted Materials
The Site, the OS, and any other application we provide, together with their underlying software, source code, databases, designs, user interfaces, features, workflows, content, and the systems and know-how they embody (collectively, our "Proprietary Technology"), are the exclusive property of Mosko Construction Group LLC and its licensors and are protected by copyright, trademark, trade secret, and other laws. We grant you no license or right except a limited, revocable, non-exclusive, non-transferable right to access and use them for their intended purpose, subject to these Terms.
You may not, and may not permit or assist anyone else to: copy, reproduce, distribute, publish, sublicense, sell, rent, or share access to the Proprietary Technology or any non-public content; reverse engineer, decompile, disassemble, scrape, or attempt to derive source code, data, or the underlying structure or methods; remove or obscure any proprietary notices; circumvent or attempt to circumvent any login, access control, or security measure; or use the Proprietary Technology, our content, or our methods to build, train, or operate a competing product, service, or model, or for any commercial purpose other than the one we authorized.
Account credentials and access to the gated areas are personal to you, are non-transferable, and may not be shared. We may monitor, limit, suspend, or terminate access at any time, with or without notice, if we believe these restrictions have been violated. You acknowledge that unauthorized use or disclosure of our Confidential Information or Proprietary Technology would cause irreparable harm for which monetary damages would be inadequate, and that Mosko is entitled to seek injunctive and other equitable relief, in addition to any other remedies available at law, without the need to post a bond. Upon our request or the end of your authorized access, you will stop using and will return or securely destroy all copies of our Confidential Information and materials in your possession or control.
Submissions and Communications
When you submit a form, chat with the Site assistant, or send us a message, you confirm that the information is accurate and that you have the right to share it. Once you send a chat message, the conversation is sent to our team when you leave the page, as described in our Privacy Policy. Do not submit confidential information of others or anything unlawful. If you send us feedback, ideas, or suggestions, you grant us a perpetual, royalty-free license to use them without obligation or compensation to you.
Third-Party Links and Services
The Site may link to third-party websites and services, such as our social media profiles. We are not responsible for their availability, content, or practices, and your use of them is at your own risk and subject to their terms.
Disclaimer of Warranties
To the fullest extent permitted by law, the Services and their content are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, accuracy, title, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free, or that their information is complete or current. This section concerns the Services only; warranties for construction work, if any, are set out in your signed estimate and any contract it references.
Limitation of Liability
To the fullest extent permitted by law, Mosko Construction Group LLC and its owners, members, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of data, profits, or goodwill, arising out of or related to your use of or inability to use the Services, even if advised of the possibility. Our total liability for any claim relating to the Services will not exceed one hundred U.S. dollars. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
Indemnification
You agree to indemnify, defend, and hold harmless Mosko Construction Group LLC and its owners, members, and affiliates from any claims, losses, liabilities, damages, and expenses, including reasonable attorney fees, arising out of your use of the Services, your submissions, or your violation of these Terms or applicable law.
Governing Law and Venue
These Terms are governed by the laws of the State of North Carolina, without regard to its conflict-of-laws principles. Any dispute relating to the Services will be resolved in the state or federal courts located in North Carolina, and you consent to their personal jurisdiction and venue.
Changes to These Terms
We may update these Terms from time to time. When we make changes we will update the "Last updated" date above. Your continued use of the Services after changes take effect means you accept the updated Terms.
